Background:
On August 12, 2022, Congress passed the Inflation Reduction Act, which, in part, enacted transferability enhancements to eleven federal tax credits. Consequently, these tax credits, centered around renewable energy in the United States, are now saleable to unrelated tax credit buyers. As a consequence of the monetization modification to these renewable energy-related tax credits, they are the virtual equivalent of cash and could serve as a beneficial tax reduction product for taxpayers and a source of immediate cash and financing for holders of the credits. Our principals’ fifteen-year involvement in selling tax credits at the state level allows us to be specialized and experienced experts in tax credit transfers and their associated rules. Through our unaffiliated tax credit brokering organization, New Mexico Tax Credit Alliance, together with our associates throughout the Country, we have collectively placed $350,000,000 of transferable state tax credits and have accumulated a large inventory of large corporations desiring to purchase federal transferable tax credits.
What We Do If you want to operate within the federal transferable tax credit marketplaces, we can assist
1. We match buyers and sellers of all types of transferable federal income tax credits that are saleable under Section 6418 of the Internal Revenue Code and New Mexico law. Tax credit buyers and tax credit sellers can register with us to use our transfer platform to monetize transferable tax credits. We generally work on a commission basis such that there is no charge until a tax credit sale consummates;
2. We have a large corporate buying inventory that has bought substantial amounts of state-transferable tax credits and who are very interested in purchasing Federal tax credits. Because we have been trading state tax credits for over fifteen years, we have developed this particular business asset that can provide quick liquidity for tax credits;
3. We perform fully qualified intermediary services, notifying appropriate agencies of transfers and maintaining required records;
4. We assist legal and tax departments with transfer agreements and other transactional documentation and processes to correctly complete federal tax credit transfers;
5. We financially support good charities that are aligned with the principles of the tax credits that we transfer;
6. We maintain connections with applicable federal and state government authorities, satisfy all transfer formalities, and keep a close eye on regulatory and statutory changes affecting transferable tax credits; and
7. We ensure that all parties know exactly what they are getting in advance. In over fifteen years and thousands of tax credit sales, we have never had a dispute related to a tax credit sale. Our work, diligence, and care are exceptional and central to our mission.
Our Team
Ethan Epstein
Ethan Epstein is a tax attorney in Albuquerque specializing in transferable income tax credits. He has practiced tax law at Baker Botts’ Houston office and in Albuquerque with the Modrall Sperling Law Firm. With regard to his tax credit brokerage role, he primarily manages the transactional aspects of sales. Ethan has worked within the transferable tax credit industry for over fifteen years and is a founding principal with New Mexico Tax Credit Alliance and United States Tax Credit Alliance. He has served as a member of the United States Military Academy Board of Visitors at West Point along with various other local charitable boards and currently serves on the Board of the New Mexico Spaceport Authority. Ethan is also the former Civilian Aide to the Secretary of the Army for New Mexico. Ethan received a BS from the United States Military Academy at West Point, a JD from the George Mason School of Law, and an LLM (Taxation) from the New York University School of Law.
Dominic Gabello
Dominic Gabello is an accomplished consultant and associate of United States Tax Credit Alliance. He has substantial experience in government, having worked for multiple Governors and Members of Congress. Most recently, Dominic served as the Senior Advisor to Governor Michelle Lujan Grisham (previously he served for five years as the Governor’s Chief of Staff while she served in the United States House of Representatives), where he lead on several areas including establishing the nation’s leading renewable standards in New Mexico through the Energy Transition Act. He also has deep experience – from a policy and transaction standpoint – in transferable and refundable state tax credits mostly connected to the film industry. Dominic has a BS from George Washington University.
Susan Przekurat
Susan Przekurat manages the administrative aspects of our tax credit brokerage firm, which are significant, and require focused attention and diligence in this complicated space. She has worked in the transferable tax credit marketplace for over a decade. She began her professional career in the national corporate offices of Hecht’s and Lord & Taylor before moving back to New Mexico to rejoin her family. Susan received her BS from Utah State University.
Mike Strugar
Mike Strugar is an attorney specializing in real estate law and the transfer of tax credits. Mike consults on technical aspects of tax credit transfers and works with large corporate tax credit purchasers. He has a law degree, as well as a mater’s degree in Natural Resource Management, both from the University of Michigan. Mike practiced real estate law for ten years as a partner at Holme Roberts & Owen, a national law firm. In 1993, he established the Conservation Resource Center, a non-profit organization, as well as other independent for profit entities, focused on land conservation and tax credit transactions and transfers in Colorado, New Mexico and Virginia. He has served Professor of Law at University of Denver Law School, and as an expert witness in cases involving the transfer of tax credits.
Stephen Ward
Stephen Ward is a principal adviser and associate with decades of experience in the energy renewable space, with an emphasis on wind, solar, nuclear, biofuels and carbon sequestration. Stephen is the founder and principal of Stephen Ward Consulting, a consulting and lobbying firm based in Arlington, Virginia. He also served as a principal of VH Strategies, a government affairs firm based in Washington, DC. Before reentering the private sector, Stephen acquired decades of legislative experience on Capitol Hill, which culminated to him serving as Chief of Staff of Senator Jeff Bingaman (D-NM). He has his BS and Masters Degrees from The Pennsylvania State University.
